These Terms of Service (“Terms”) govern your access to and use of the MSGON platform (“Platform”), provided by MSGON (“Company”, “we”, “our”, “us”), including our cloud communication services such as SMS, WhatsApp, RCS, Email, IVR, APIs, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

Definitions

• Customer: Any individual or entity registered on MSGON.
• Content: Any data, text, messages, or material submitted through the Service.
• Customer Data: Data relating to your customers or end-users.
• Third-Party Messaging Platform: WhatsApp, telecom operators, email providers, or any integrated service.
• API: Application Programming Interface.

Provision of the Service

MSGON provides access to the Platform subject to these Terms. You are responsible for:

• Complying with all third-party platform policies.
• Obtaining required approvals, API keys, and permissions.
• Ensuring lawful use of the Service.

Modifications to the Service and Fees

MSGON may modify, suspend, or discontinue any part of the Service at any time. Pricing may change with prior notice. Continued use constitutes acceptance of revised fees.

Intellectual Property

All rights in the Platform belong to MSGON. You may not copy, reverse engineer, or misuse the Service. You grant MSGON permission to use your logo and brand name for promotional purposes unless you request otherwise.

Customer Data

You retain ownership of your Customer Data. MSGON processes data only to provide and improve services. You confirm you have obtained necessary permissions from your customers.

Customer Responsibilities

• Safeguarding your credentials.
• All activities under your account.
• No spam, fraud, or illegal content.
• Compliance with all applicable laws.

WhatsApp & Platform Policies

You must follow all applicable WhatsApp, telecom, and messaging provider policies. MSGON is not responsible for third-party violations.

Support

MSGON provides email and web support during business hours.

Fees and Payment

• Subscription and usage charges.
• Third-party messaging fees.
• Optional onboarding or verification charges.

Payments are non-refundable. MSGON may suspend services for non-payment.

Limitation of Liability

MSGON is not liable for indirect or consequential damages. Maximum liability is limited to the amount paid in the previous 12 months.

Term and Termination

These Terms remain effective until terminated. MSGON may suspend or terminate accounts for violations or non-payment. Termination may result in data deletion.

Dispute Resolution

These Terms are governed by the laws of India. Courts located in India shall have exclusive jurisdiction.

Entire Agreement

These Terms constitute the entire agreement between you and MSGON.

Severability

If any provision is found unenforceable, remaining provisions will remain effective.
